Terms of Service

These Terms are generated from Barkada's actual product and business setup using Termly's template service. They're a strong, current reflection of how the Service works today — but as with any template-based agreement, a final attorney read-through before relying on it in a dispute is still good practice.

Agreement

These Terms govern your use of Barkada, the app and any associated services (together, the "Service"), operated by Barkada Club LLC ("we," "us"), a New York limited liability company. By creating an account or using Barkada, you agree to these Terms. If you don't agree, don't use the Service. These Terms are intended for users in the United States.

Eligibility

You must be at least 13 years old to use Barkada. If you're under the age of majority where you live (generally under 18), you confirm you have a parent or guardian's permission to use the Service.

Your account

You're responsible for the accuracy of the information you provide and for anything that happens through your account. Let us know right away if you believe your account has been accessed without your permission. We may remove or change a username we consider inappropriate or objectionable.

Your content

You retain ownership of the photos, memories, and content you log. By adding content to a barkada, you grant the other members of that barkada a license to view, and where the feature allows it, contribute to and amend, that content within the app — for example, another member adding attendance details or a photo to a hangout you logged. You grant us a limited, non-exclusive license to host, store, reproduce, and display your content solely to operate and improve the Service. We don't claim ownership of your content, and we don't use it for advertising.

Acceptable use

Don't use Barkada to post or share content that's illegal, harassing, abusive, or that violates someone else's rights or privacy. Don't impersonate another person, attempt to access another user's account, circumvent security features, use bots or scrapers against the Service, or interfere with its normal operation. Don't use Barkada to advertise or sell goods and services, or sell or transfer your account or profile to anyone else.

If you see content or behavior that concerns you, use the in-app report feature (on a hangout, long-press → Report) or block the user involved (Profile → Blocked users, or from within a shared barkada). We may review reported content and remove content or suspend accounts that violate these Terms.

Barkada groups

A "barkada" is a private group you join by invitation. Content within a barkada is visible to its members only. Any member can log or amend shared content (hangouts, photos, attendance); the member who created a barkada can remove other members or delete the barkada entirely, which permanently deletes its content for everyone in it.

If a member is removed from a barkada, or leaves one, the content that member already contributed — hangouts they logged, photos they added — stays part of that barkada's shared history and is not deleted along with their membership. It remains visible to the remaining members, no longer attributed to that person.

Subscriptions

Barkada Premium is an optional paid subscription that unlocks additional features for your barkada. Premium may be offered with an introductory free trial; if so, the length of the trial and the date your paid subscription begins will be shown before you confirm. Unless you cancel before the trial ends, your subscription will convert automatically to a paid plan and be billed through your Apple ID or Google Play account.

Subscriptions are billed through the Apple App Store or Google Play, renew automatically until cancelled, and are subject to those platforms' own billing, refund, and cancellation terms. All purchases made through Barkada are non-refundable by us directly — refund requests are handled by Apple or Google under their own policies. You can manage or cancel a subscription, including during a free trial, anytime through your Apple ID or Google Play account settings; cancellation takes effect at the end of your current billing period (or trial). We may change subscription pricing from time to time and will provide notice as required by law before any change takes effect.

Copyright

We respect the intellectual property rights of others. If you believe content available through Barkada infringes a copyright you own, email us at hubert@barkada.club with enough detail for us to identify and locate the material, and we'll review and respond. Please note that knowingly submitting a false infringement claim can carry legal consequences for you.

Termination

You can stop using Barkada and delete your account at any time from within the app (Profile → Delete my account). We may suspend or terminate your access if you violate these Terms, including for content or conduct reported and confirmed to violate the Acceptable Use section above, or for any other reason at our discretion, including no reason at all.

Disclaimers

Barkada is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that content will be preserved indefinitely — you're encouraged to keep your own copies of photos and memories that matter to you.

Limitation of liability

To the maximum extent permitted by law, Barkada and Barkada Club LLC won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profit, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms or the Service will not exceed the amount you paid us, if any, in the six months before the claim arose. Some states don't allow these limitations, so some of them may not apply to you.

Dispute resolution

If a disagreement comes up, we'd rather work it out directly than go to court. Before filing any claim, you agree to contact us at hubert@barkada.club and negotiate informally for at least 30 days. If that doesn't resolve things, any remaining dispute will be resolved by binding arbitration under the American Arbitration Association's rules, rather than in court, and not as a class action — except that either of us can bring an individual claim in small claims court, and either of us can seek injunctive relief in court for misuse of intellectual property. Arbitration (or, where arbitration doesn't apply, litigation) will take place in Nassau County, New York. We'll cover arbitration fees if they're found to be excessive for you to bear.

Changes

We may update these Terms as the Service changes. If we make a material change, we'll update the date at the top of this page and, where required, notify you by email or in the app.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles.
